These Terms & Conditions ("Terms") govern your access to and use of the Alibi Connect platform and services. By registering or using the platform, you agree to these Terms in full. If you do not agree, do not use the platform.

1. The platform

Alibi Connect is a B2B marketplace that facilitates verified commodity trade between verified buyers and verified suppliers across mining, agriculture, manufacturing, and energy sectors. We are a marketplace operator — we are not a party to trades between buyers and suppliers, and we do not take title to any commodity.

2. Eligibility and registration

To use the platform you must: be a legal entity or acting on behalf of a legal entity; have the authority to bind your organisation to these Terms; comply with all applicable laws in your jurisdiction; and successfully complete our identity and compliance verification process. We may reject any application for any reason, including failure to provide adequate documentation.

3. Verification requirements

All users — buyers and suppliers — must maintain verified status to use the platform. Verified status requires: current identity and business registration documents, valid relevant trade licences or permits, and ongoing compliance with our Merchant Code of Conduct. We may suspend or revoke verified status at any time if documents expire, if we identify compliance concerns, or if you breach these Terms.

4. Listings and representations

By posting a listing, you represent and warrant that: you have the legal right to sell the described commodity; all information in the listing is accurate, current, and not misleading; all required export licences, trade permits, and regulatory approvals are in place; and you will provide the stated documentation to the buyer upon trade completion.

Submitting a false or misleading listing is grounds for immediate suspension and may result in referral to relevant authorities.

5. Transactions

The platform facilitates negotiation and agreement between buyers and suppliers. A binding transaction occurs when both parties explicitly confirm agreed terms through the platform's transaction confirmation mechanism. Alibi Connect is not responsible for performance of any transaction — delivery, payment, and dispute resolution are between the parties, subject to the agreed trade terms.

6. Fees

Current fee schedules are published in the platform portal and may be updated with 30 days' notice. Fees are due regardless of whether a transaction ultimately settles, except where a listing is removed by Alibi Connect for compliance reasons.

7. Prohibited conduct

You must not: misrepresent commodity origin, quality, or quantity; trade in sanctioned goods or with sanctioned counterparties; circumvent our verification requirements; use the platform for money laundering, tax evasion, or fraud; disclose another user's confidential trade information; attempt to contact other users outside the platform to circumvent our fee structure; or use automated tools to scrape or abuse the platform.

8. Intellectual property

The platform, its design, software, and content are the intellectual property of Alibi Connect Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the platform for its intended purpose. You retain ownership of the content and documents you upload.

9. Liability

To the fullest extent permitted by law, Alibi Connect shall not be liable for: indirect, consequential, or incidental losses; losses arising from transactions between platform users; losses arising from third-party failures; or losses caused by events outside our reasonable control. Our aggregate liability to you in any 12-month period shall not exceed the fees you paid to us in that period.

10. Termination

Either party may terminate an account with 30 days' written notice. We may suspend or terminate immediately for breach of these Terms, regulatory breach, or failure to maintain verified status. On termination, your right to access the platform ceases. Data retention obligations continue as per our Privacy Policy.

11. Governing law

These Terms are governed by the laws of England and Wales. Disputes shall be submitted to the exclusive jurisdiction of the courts of England and Wales, unless a mandatory local law requires otherwise.

12. Changes

We may amend these Terms with 30 days' notice. Material changes are communicated by email. Continued use after the effective date constitutes acceptance.
